SENSERVA DRIFT MANAGER END USER LICENSE AGREEMENT
This End User License Agreement ("Agreement") is between the person or entity purchasing, accessing, or using Senserva Drift Manager ("you" or "Client") and Senserva, LLC, with its principal place of business at 4661 White Bear Parkway, St. Paul, MN 55110 (hereinafter, "Senserva"). Senserva and Client are collectively referred to as the "Parties."

SENSERVA PROVIDES DRIFT MANAGER SOLELY ON THE TERMS AND CONDITIONS SET FORTH IN THIS AGREEMENT. BY DEPLOYING, ACCESSING, OR USING DRIFT MANAGER IN ANY WAY, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO ACCEPT THIS AGREEMENT ON YOUR OWN BEHALF OR IF CLIENT IS A CORPORATION, ORGANIZATION, OR OTHER LEGAL ENTITY, YOU HAVE THE RIGHT, POWER, AND AUTHORITY TO ENTER INTO THIS AGREEMENT ON BEHALF OF CLIENT. IF YOU DO NOT AGREE TO THESE TERMS, SENSERVA WILL NOT AND DOES NOT LICENSE DRIFT MANAGER TO YOU AND YOU MUST NOT DEPLOY, ACCESS, OR USE DRIFT MANAGER.
AGREEMENT
1. License Grant and Subscription Tiers.
1.1. Subscription Tiers. Drift Manager is available under the following tiers:
(a) Free Tier: A no-cost tier available through the Azure Marketplace that provides access to a limited set of Drift Manager features, as described in the then-current product documentation, subject to the terms of this Agreement.
(b) Premium Subscription: A paid subscription that grants full access to all Drift Manager features for the subscription term. Premium Subscriptions are available on monthly or annual billing cycles and are renewable unless terminated in accordance with this Agreement.
1.2. Grant of License. Subject to the terms and conditions of this Agreement and payment of applicable fees (if any), Senserva hereby grants to Client, solely for Client's internal business purposes, a non-exclusive, non-transferable, non-sublicensable license to (a) deploy, access, and use Drift Manager within Client's Microsoft Azure environment for the purpose of monitoring and detecting security configuration drift across Client's Microsoft 365, Entra ID, Intune, Defender, and Sentinel environments, and facilitating remediation through integration with Client's existing processes and tools; and (b) prepare, reproduce, print, download, and use a reasonable number of copies of the generally available user documentation relating to Drift Manager as may be necessary or useful for any use permitted under this Agreement.
1.3. Managed Service Providers. Clients operating as Managed Service Providers (MSPs) or Managed Security Service Providers (MSSPs) may use Drift Manager to manage and monitor the Microsoft environments of their end customers, provided that: (a) each such use is covered by an active Premium Subscription with sufficient capacity for the number of managed tenants; (b) Client is responsible for ensuring each end customer's acceptance of applicable terms governing data access; and (c) Client does not grant end customers direct administrative access to Client's Drift Manager instance without Senserva's prior written consent.
1.4. Free Tier Limitations. The Free Tier is subject to the following limitations:
(a) Feature availability is limited as described in the then-current product documentation and may change at Senserva's discretion;
(b) Free Tier access may be converted to a Premium Subscription at any time without reinstalling or redeploying Drift Manager;
(c) Senserva reserves the right to modify, limit, or discontinue the Free Tier upon thirty (30) days' written notice to Client.
2. Restrictions. Except as expressly permitted in this Agreement, Client must not:
(a) copy, modify, reverse engineer, decompile, disassemble, or otherwise attempt to derive or gain access to the source code of Drift Manager, or attempt to do so;
(b) install or use any third-party software or technology in any way that would subject Senserva's intellectual property or technology to any other license terms;
(c) work around any technical limitations or access controls in Drift Manager;
(d) use Drift Manager for any unlawful purpose;
(e) distribute, sublicense, rent, lease, or lend access to Drift Manager, in whole or in part, to any other person or entity except as expressly permitted in Section 1.3 (Managed Service Providers);
(f) publish, or otherwise make available to any third party, any benchmark testing information or results relating to Drift Manager without Senserva's prior written consent;
(g) use Drift Manager for any function other than internal business use or managed service provision as described in Section 1.3 without express written consent from Senserva; or
(h) remove, obscure, or modify any copyright, trademark, or other proprietary notices contained in or displayed by Drift Manager.
3. Intellectual Property Rights and Ownership. Rights to access or use Drift Manager do not give Client any right to implement Senserva's patents or other intellectual property, including U.S. Patent 12,407,706 and any pending patents. All right, title, or interest in or to the copyrights, trademarks, patents, trade secrets, and all other intellectual property rights in Drift Manager are and shall remain with Senserva. Client acknowledges and agrees that Drift Manager is provided under license, and not sold, to Client. Senserva reserves and shall retain its entire right, title, and interest in and to Drift Manager and all intellectual property rights arising out of or relating to Drift Manager, except as expressly granted to the Client in this Agreement. Client shall safeguard Drift Manager from infringement, misappropriation, theft, misuse, or unauthorized access.
4. Third-Party Materials. Drift Manager may include software, content, data, or other materials owned by persons other than Senserva ("Third-Party Components"), including Microsoft Azure services and the Microsoft Graph API. Any such Third-Party Components are licensed to Client under the terms of the applicable third-party licensor. Client is responsible for maintaining any required licenses or subscriptions for Microsoft Azure and other third-party services necessary to operate Drift Manager.
5. Use of Microsoft APIs and Azure Services. Drift Manager uses Microsoft Graph APIs, Azure Resource Manager APIs, and other Microsoft APIs to collect configuration data from Client's Microsoft 365, Entra ID, Intune, Defender, and Sentinel environments for the purpose of detecting configuration drift and facilitating remediation through integration with Client's existing processes and tools. Drift Manager operates within Client's own Azure subscription using standard Azure authentication. Senserva may use documented or undocumented Microsoft APIs to provide comprehensive configuration coverage. Client is responsible for granting and maintaining the necessary API permissions and Azure role assignments required for Drift Manager to function.
6. Data Privacy and Security. Drift Manager deploys into Client's own Microsoft Azure subscription. Configuration data, drift records, and reports are stored in Client's Azure environment (including Azure SQL Server secured with Microsoft Entra ID authentication). Senserva does not have access to Client's configuration data or tenant data stored in Client's Azure environment. All data processing occurs within Client's Azure geography. Senserva may collect anonymized usage telemetry (such as feature usage, error logs, and performance metrics) for the purpose of improving Drift Manager, but such telemetry does not include Client configuration data, tenant names, or security findings.
7. End Users. Client will control access to and use of Drift Manager by end users and is responsible for any use of Drift Manager that does not comply with this Agreement. Client is responsible and liable for all actions and failures to take required actions with respect to Drift Manager by its authorized users or by any person to whom Client or an authorized user provides access to Drift Manager.
8. Fees and Payments.
8.1. Free Tier. The Free Tier is provided at no charge, subject to the limitations described in Section 1.4.
8.2. Premium Subscription Fees. Premium Subscription fees are payable in advance for each billing period (monthly or annual) as selected by Client. All fees are non-refundable except as may be expressly set forth in Section 11 (Limited Warranties). Senserva may increase Premium Subscription fees upon thirty (30) days' prior written notice to Client, with such increases effective upon the next billing renewal date.
8.3. Azure Marketplace Billing. Drift Manager may be purchased through the Microsoft Azure Marketplace, in which case billing is handled by Microsoft in accordance with Microsoft's marketplace terms. Senserva's pricing and terms govern the Drift Manager license; Microsoft's marketplace terms govern the transaction and billing relationship.
8.4. Upgrades. Clients may upgrade from the Free Tier to a Premium Subscription at any time without redeployment. Upgrades take effect immediately upon payment.
9. Term & Termination.
9.1. Term.
(a) The Free Tier continues indefinitely unless terminated by either party in accordance with this Agreement or until Senserva modifies or discontinues the Free Tier with notice as described in Section 1.4.
(b) Premium Subscriptions commence on the date of purchase and continue for the billing period selected (monthly or annual), automatically renewing for successive periods of the same length unless terminated in accordance with this Agreement.
9.2. Termination by Client. Client may terminate a Premium Subscription by providing written notice to Senserva at least thirty (30) days prior to the end of the then-current billing period, or by canceling through the Azure Marketplace. No refunds will be provided for early termination. Upon termination, Client retains access through the end of the paid period.
9.3. Termination by Senserva. Senserva may terminate this Agreement:
(a) For Premium Subscriptions, by providing sixty (60) days' written notice to Client;
(b) For the Free Tier, by providing thirty (30) days' written notice to Client;
(c) For any tier, effective upon written notice to Client if Client materially breaches this Agreement and such breach: (i) is incapable of cure; or (ii) being capable of cure, remains uncured thirty (30) days after Senserva provides written notice thereof.
9.4. Termination for Insolvency. Either party may terminate effective immediately if the other party files, or has filed against it, a petition for voluntary or involuntary bankruptcy or pursuant to any other insolvency law, makes or seeks to make a general assignment for the benefit of its creditors or applies for, or consents to, the appointment of a trustee, receiver, or custodian for a substantial part of its property.
9.5. Effect of Termination. Upon termination or expiration of this Agreement, the license granted hereunder shall also terminate, and Client shall cease using Drift Manager and shall remove or disable the Drift Manager deployment from Client's Azure environment. Client's data stored in Client's own Azure environment remains under Client's control after termination. The provisions of this Agreement that, by their nature, should survive termination or expiration, will do so, including without limitation Sections 3, 10, 11, 12, 13, and 14.
10. Collection and Use of Information. Client acknowledges that Senserva may, directly or indirectly, collect and store anonymized information regarding use of Drift Manager, including but not limited to feature usage, error logs, crash reports, and performance metrics. Such information does not include Client configuration data, tenant identifiers, or security findings. Client agrees that Senserva may use such anonymized information for any purpose related to improving Drift Manager, including improving performance, developing updates, and verifying compliance with the terms of this Agreement.
11. Limited Warranties. Senserva warrants that Drift Manager will substantially contain the functionality described in the then-current user documentation, and when properly deployed according to specifications, will substantially perform in accordance therewith for a period of thirty (30) days from the date of first use ("Warranty Period"). Subject to Client's prompt written notification to support@senserva.com of a failure during the Warranty Period, Senserva's sole liability (and Client's sole remedy) will, at Senserva's option, be to: (i) repair or replace the affected functionality; or (ii) for Premium Subscriptions, refund a pro-rata portion of the subscription fee based on the unused portion of the then-current billing period.
EXCEPT AS EXPRESSLY SET FORTH ABOVE, DRIFT MANAGER IS PROVIDED "AS IS" AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, SENSERVA EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DRIFT MANAGER PROVIDES CONFIGURATION MONITORING AND DRIFT DETECTION CAPABILITIES BUT DOES NOT GUARANTEE COMPLIANCE WITH ANY SECURITY FRAMEWORK, REGULATION, OR STANDARD.
12. Limitation of Liability. IN NO EVENT WILL SENSERVA OR ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS (COLLECTIVELY, "SENSERVA PARTIES") HAVE LIABILITY FOR ANY DIRECT, CONSEQUENTIAL, SPECIAL, LOST PROFIT, PUNITIVE OR RELIANCE DAMAGES, OR INDIRECT LOSS FOR DAMAGES, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY OR FORM OF ACTION. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE AGGREGATE LIABILITY OF SENSERVA PARTIES EXCEED THE AMOUNT PAID BY CLIENT FOR DRIFT MANAGER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. FOR FREE TIER ACCESS PROVIDED AT NO CHARGE, SENSERVA'S MAXIMUM AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
13. Indemnification. Client agrees to indemnify, defend, and hold harmless Senserva Parties from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, arising from or relating to (a) Client's use or misuse of Drift Manager; (b) Client's breach of this Agreement; (c) any remediation actions taken by Client or Client's tools in response to drift detected by Drift Manager; or (d) any claims by Client's end customers arising from Client's use of Drift Manager in a managed service context.
14. Export Control. Drift Manager may be subject to US export control laws. Client shall comply with all applicable federal laws, regulations, and rules prior to exporting, re-exporting, releasing, or otherwise making Drift Manager available outside the US.
15. US Government Rights. Drift Manager includes commercial computer software as defined in 48 C.F.R. §2.101. If Client is the US Government or any contractor therefor, Client shall receive only those rights as are granted to all other end users under license, in accordance with (a) 48 C.F.R. §227.7201 through §227.7204 for the Department of Defense and their contractors, or (b) 48 C.F.R. §12.212 for all other US Government licensees and their contractors.
16. Governing Law and Venue. This Agreement shall be governed and construed by the substantive laws of the State of Minnesota. Any legal action or proceeding arising under this Agreement will be brought exclusively in the federal or state courts located in Hennepin County, Minnesota.
17. Force Majeure. Senserva will not be responsible for any failure or delay due to causes beyond its reasonable control, including natural disaster, acts of God, war, epidemic, labor disputes, or unavailability of Microsoft Azure infrastructure.
